1. Acceptance of Terms
By accessing or using Korelos AI Studio (“the Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of Service
Korelos AI Studio is an AI Agent-as-a-Service platform that allows developers and businesses to create, deploy, and run autonomous AI agents via API and a web-based Studio portal. The Service includes agent creation, task execution, tool integration, memory management, and observability features.
The Service is currently in pre-launch / early access phase. Features, pricing, and availability may change prior to general release.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately of any unauthorized use of your account at security@korelos.com.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Generate, distribute, or facilitate harmful, illegal, or deceptive content
- Attempt to reverse-engineer, scrape, or extract proprietary components of the platform
- Circumvent rate limits, access controls, or security measures
- Build agents that harass, stalk, or harm individuals
- Conduct unauthorized penetration testing or vulnerability scanning of our systems
- Resell or sublicense the Service without written authorization
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
5. API Usage & Rate Limits
Your use of the API is subject to the rate limits and run quotas associated with your plan tier. Exceeding limits may result in throttling or additional charges. We reserve the right to modify rate limits with 30 days’ notice.
6. Fees & Payment
Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or as specified in our refund policy. We reserve the right to change pricing with 30 days’ advance notice to existing customers.
7. Intellectual Property
You retain ownership of all data, agent configurations, and outputs you create using the Service. Korelos AI Studio retains ownership of the platform, its infrastructure, APIs, and underlying technology. Nothing in these terms transfers intellectual property rights from either party.
8. Disclaimers & Limitation of Liability
The Service is provided “as is” without warranties of any kind. AI agent outputs are probabilistic and may contain errors — you are responsible for validating outputs before acting on them in critical workflows.
To the maximum extent permitted by law, Korelos AI Studio’s total liability for any claims arising from use of the Service shall not exceed the amount you paid in the 12 months preceding the claim.
9. Termination
Either party may terminate these terms at any time. Upon termination, your access to the Service will cease and your data will be retained for 30 days before deletion, during which you may request an export.
10. Governing Law
These terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration in San Francisco, CA, except for claims of injunctive relief which may be brought in any court of competent jurisdiction.
